Terms of Service

Effective date: April 1, 2026

These Terms of Service ("Terms") govern your access to and use of the Palm Commissions web application (the "Service") operated by Palm Commissions, LLC ("Palm Commissions," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Palm Commissions is a commission tracking and reconciliation tool designed for independent insurance and real estate agents. The Service allows you to upload carrier commission statements, track expected payments, manage annuity trail payments, and view financial dashboards summarizing your commission activity.

The Service is a data organization tool, not a financial advisory or accounting service. We do not provide tax, legal, investment, or financial advice. You are solely responsible for verifying the accuracy of your data and for any financial decisions you make.

2. Accounts

2.1 Eligibility

You must be at least 18 years old and a resident of the United States to use the Service. By creating an account, you represent that you meet these requirements.

2.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized access or use of your account.

2.3 Account Accuracy

You agree to provide accurate and complete information when creating your account and to keep your information up to date.

3. Subscriptions and Billing

3.1 Plans

The Service is offered on a subscription basis. Current plans and pricing are displayed on the Service at the time of purchase. We reserve the right to change pricing with 30 days' notice to existing subscribers.

3.2 Payment

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on the plan selected). You are responsible for keeping your payment method current.

3.3 No Refunds

All subscription fees are non-refundable except as provided in Section 12. When you cancel your subscription, you will retain access to the Service through the end of your current billing period. No partial or prorated refunds will be issued for unused time.

3.4 Failed Payments

If a payment fails, we will notify you and may retry the charge. If payment cannot be collected after reasonable attempts, we may downgrade or suspend your account.

3.5 Cancellation

You may cancel your subscription at any time through the billing section of the Service. Upon cancellation, your account will remain active until the end of the current billing period. After that, your access will be limited. Your data will be retained according to our Privacy Policy.

4. Referral Program

4.1 Eligibility and Participation

Paid subscribers may receive a personal referral code. When another user subscribes using your code, both parties may receive promotional credits or discounts as described at the time of the referral. Referral rewards are subject to change or discontinuation at any time with reasonable notice to active participants.

4.2 Referral Credits

Credits issued through the referral program have no cash value and cannot be transferred, sold, or redeemed for cash. Credits expire if your account is cancelled or remains unpaid for more than 60 days. We reserve the right to withhold or revoke credits if we determine that a referral was made fraudulently or in violation of these Terms.

4.3 Abuse and Fraud

Self-referrals, referrals using fake accounts, or any other manipulation of the referral program is prohibited. We may terminate accounts and revoke all pending credits for violations of this section without prior notice.

4.4 Program Changes

We reserve the right to modify or discontinue the referral program at any time. Existing earned and applied credits at the time of discontinuation will be honored through the end of the then-current billing period.

5. Founding Circle Membership

5.1 Eligibility

Founding Circle membership is granted to users who are invited by a founding member of the Service prior to public launch, or through other qualifying events as announced by us. Eligibility criteria are determined solely by Palm Commissions.

5.2 Benefits

Founding Circle members receive early access and other promotional benefits as described at the time of invitation. These benefits are personal, non-transferable, and subject to modification. We do not guarantee that any benefit will remain available indefinitely.

5.3 Modification

We reserve the right to modify or discontinue Founding Circle benefits with 30 days' notice to affected members. Continued use of the Service following such notice constitutes acceptance of the revised benefit terms.

6. Your Data

6.1 Ownership

You retain full ownership of all data you upload or enter into the Service, including commission records, client information, and file uploads. We claim no intellectual property rights over your data.

6.2 License to Us

By uploading data, you grant us a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing the Service to you. This license ends when your data is deleted.

6.3 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of the data you upload or enter. The Service processes your data as provided and does not independently verify commission amounts, dates, or other details.

6.4 Data Deletion

You may delete individual records at any time. If you delete your account, your data will be purged in accordance with the retention schedule described in our Privacy Policy.

7. Acceptable Use

You agree not to:

  • Upload fraudulent, falsified, or illegally obtained data
  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems
  • Use automated scripts, bots, or scraping tools to access the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Share your account credentials with others or allow multiple individuals to use a single account unless your plan explicitly includes multi-user access
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store data unrelated to commission tracking

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.

8. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Palm Commissions, LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data processing or calculations will be accurate or complete.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALM COMMISSIONS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Palm Commissions, LLC, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service for violation of these Terms or for any other reason with 30 days' written notice to your account email. We may suspend access immediately and without notice if we reasonably believe your use poses a security risk, violates applicable law, or harms other users.

Upon termination, your right to use the Service ceases at the end of your current billing period (or immediately in the case of a suspension for cause). If we terminate your account without cause during a prepaid annual billing period, we will issue a prorated refund for the unused portion. Sections 6.1, 8, 9, 10, 11, 14, and 17 survive termination.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the effective date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@pcommissions.com and attempt to resolve the dispute informally for at least 30 days.

14.3 Binding Arbitration

If we cannot resolve the dispute informally, you and Palm Commissions, LLC agree to resolve any dispute, claim, or controversy arising from or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration will be conducted in the Commonwealth of Kentucky (or, at your election, by phone or video conference). The arbitrator's decision will be final and binding.

14.4 Class Action Waiver

YOU AND PALM COMMISSIONS, LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

14.5 Exceptions

Either party may bring a claim in small claims court if it qualifies. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.

15. Force Majeure

Palm Commissions, LLC shall not be liable for any failure or delay in performing its obligations under these Terms caused by events beyond its reasonable control, including but not limited to: natural disasters, acts of government, pandemics, internet or infrastructure outages, failures of third-party service providers (including Supabase, Stripe, Vercel, and Sentry), cyberattacks, and labor disputes.

16. DMCA and Copyright

If you believe content on the Service infringes your copyright, please send a notice containing the following information to support@pcommissions.com:

  • A description of the copyrighted work you claim has been infringed
  • A description of the material you claim is infringing and its location on the Service
  • Your contact information (name, address, phone, email)
  • A statement that you have a good-faith belief the use is not authorized
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
  • Your physical or electronic signature

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Palm Commissions, LLC regarding the Service.
